Article 1 — Identification of the Service Provider
These general terms and conditions govern the relationship between:
The Service Provider:
S.A.R.L POLE IMMOBILIER, a société à responsabilité limitée (French limited liability company) registered with the Antibes Trade Register (RCS) under SIRET number 431 306 588 00044, with its registered office at 540 1ère Avenue, 06600 Antibes, France.
Hereinafter referred to as "Centre d'Affaires Antibes" or "the Service Provider".

The Client:
Any natural or legal person subscribing to one of the services offered by the Service Provider.
Article 2 — Purpose and Scope
These general terms and conditions of sale and service (hereinafter "GTC") define the rights and obligations of the parties in respect of the services offered by Centre d'Affaires Antibes, including:
• Registered office address service (domiciliation commerciale — business address for company registration)
• Office rental — shared offices and meeting rooms (coworking)
• Outsourced secretarial services (quotes, invoicing, administrative management)
• Professional mail reception, storage and management
• Mail scanning and forwarding
• Any additional service offered by the Service Provider
Subscribing to any service implies full and unconditional acceptance of these GTC. The Service Provider reserves the right to modify these terms at any time. The applicable terms are those in force on the date of subscription.
Article 3 — Registered Office Address Service (Domiciliation)
3.1 — Legal Framework
The registered office address service is provided in accordance with Articles L123-11-2 et seq. and Articles R123-166-1 et seq. of the French Commercial Code (Code de commerce). Centre d'Affaires Antibes holds a prefectoral licence (agrément préfectoral) issued by the Préfecture des Alpes-Maritimes authorising it to provide business domiciliation services.
3.2 — Domiciliation Contract
The domiciliation service is governed by a written contract concluded for a minimum term of three (3) months, renewable by tacit agreement. The contract specifies the registered office address made available to the client: 540 1ère Avenue, 06600 Antibes.
3.3 — Client Obligations
In accordance with the regulations, the domiciled client undertakes to:
• Effectively use the Business Centre's premises as its registered office or establishment
• Inform the Service Provider of any change relating to its business activity, legal form or management
• Provide the Service Provider with its SIRET number (French business registration number) as soon as it is obtained
• Submit to the on-site inspection provided for under Article R123-166-3 of the Commercial Code
• Collect mail regularly or subscribe to a forwarding or scanning service
3.4 — Service Provider Obligations
The Service Provider undertakes to:
• Make a business address available to the client as its registered office
• Receive and store mail addressed to the client under satisfactory security conditions
• Issue a domiciliation certificate (attestation de domiciliation) compliant with legal requirements
• Maintain a register of domiciled companies, made available to the competent authorities
• Inform the Greffe du Tribunal de Commerce (Commercial Court Registry) in the event of contract termination
3.5 — Domiciliation Pricing
The registered office address service is offered at a rate of €25 excl. VAT per month (monthly payment) or €75 excl. VAT per quarter (quarterly payment), with no set-up fees and no deposit. These rates include the provision of the address, mail reception and the issuance of the domiciliation certificate.
Article 4 — Coworking and Office Rental
4.1 — Provision of Space
Centre d'Affaires Antibes provides shared workspaces (coworking), private offices and meeting rooms, equipped with professional furniture, fibre broadband, WiFi, printer and air conditioning.
4.2 — Booking and Duration
Bookings are made online or by telephone. Spaces are available by the half-day, day, week or month. Any booking is firm and final upon confirmation by the Service Provider.
4.3 — Use of Premises
The client undertakes to use the premises in accordance with their intended professional purpose, in compliance with rules of hygiene, safety and good neighbourliness. The following are prohibited:
• Subletting or assigning the right to use the reserved spaces
• Carrying on an unlawful, harmful or immoral activity
• Damaging furniture, equipment or premises
• Disturbing other occupants through inappropriate behaviour
Any damage observed shall be invoiced to the responsible client.
4.4 — Pricing
Rental prices for the spaces are displayed on the website and communicated upon request. Prices are quoted exclusive of tax and are subject to the applicable rate of VAT.
Article 5 — Outsourced Secretarial Services
5.1 — Scope of Services
The outsourced secretarial service includes, according to the client's requirements:
• Preparation of quotes and invoices compliant with French regulations
• General administrative management (filing, archiving, data entry, case management)
• Any other administrative service agreed between the parties
5.2 — Performance
Services are performed by qualified personnel of Centre d'Affaires Antibes, on the Service Provider's premises or remotely depending on the nature of the task. The client provides the Service Provider with all information and documents necessary for the proper performance of the services.
5.3 — Pricing
Secretarial services are invoiced on the basis of a quote, according to the volume and nature of the tasks assigned. A detailed quote is systematically prepared and must be accepted by the client before any work begins. No minimum fee applies.
5.4 — Confidentiality
The Service Provider undertakes to treat all documents and information provided by the client with the strictest confidentiality. Business Centre staff are bound by a duty of professional discretion.
Article 6 — Mail Management
6.1 — Reception and Storage
The Service Provider receives mail and parcels addressed to the domiciled client and stores them in a secure individual mailbox. The client is notified of incoming mail via their online client portal.
6.2 — Mail Collection
The client may collect mail during opening hours (Monday to Friday, 9:00am to 6:00pm) or outside opening hours using the remote-access lock system.
6.3 — Scanning (optional)
Upon subscription to the scanning option (€20 excl. VAT/month), the Service Provider scans incoming mail and sends it to the client by email. This option includes up to 50 items of mail per month.
6.4 — Forwarding (optional)
Upon subscription to the forwarding option (€25 excl. VAT/month), the Service Provider forwards the client's mail to the address of their choice within mainland France, on a weekly basis, up to 500g per dispatch.
6.5 — Uncollected Mail
Mail not collected within three (3) months shall be deemed abandoned. The Service Provider reserves the right to destroy it after formal notice has remained without effect for thirty (30) days.
Article 7 — Pricing, Invoicing and Payment
7.1 — Pricing
The applicable prices are those in force on the date of subscription or renewal. Prices are quoted in euros, exclusive of tax, and are subject to the applicable rate of VAT. The Service Provider reserves the right to modify its prices at any time; any modification shall be notified to the client with one (1) month's notice.
7.2 — Invoicing
Domiciliation services are invoiced monthly or quarterly, depending on the option chosen. Other services (coworking, secretarial) are invoiced according to the terms agreed in the quote or at the time of booking.
7.3 — Payment Methods
Payment is made by bank transfer, direct debit or credit/debit card. Unless otherwise stated, payment is due upon receipt of the invoice.
7.4 — Late Payment
In the event of late payment, penalties shall be automatically applied at a rate of three times the legal interest rate in force, in accordance with Article L441-10 of the French Commercial Code. A fixed indemnity of €40 for recovery costs shall also be due, in accordance with Article D441-5 of the French Commercial Code.
Any payment more than thirty (30) days overdue may result in the suspension of services without notice.
Article 8 — Duration and Termination
8.1 — Duration of the Domiciliation Contract
The domiciliation contract is concluded for a minimum term of three (3) months, renewable by tacit agreement for successive periods of the same duration.
8.2 — Termination by the Client
The client may terminate the contract at any time, subject to one (1) month's notice given by email or recorded delivery letter with acknowledgement of receipt. No termination fees shall be charged.
8.3 — Termination by the Service Provider
The Service Provider may terminate the contract as of right and without notice in the event of:
• Non-payment of sums due after formal notice has remained without effect for fifteen (15) days
• Use of the registered office address for unlawful purposes or purposes contrary to public policy
• Failure to comply with the legal obligations incumbent upon the domiciled party
• Removal of the company from the Trade Register (RCS)
8.4 — Effects of Termination
Upon termination, the client has one (1) month to transfer its registered office to a new address. The Service Provider shall inform the Greffe du Tribunal de Commerce (Commercial Court Registry) of the end of the domiciliation contract, in accordance with the regulations in force.
Article 9 — Liability
9.1 — Liability of the Service Provider
The Service Provider undertakes to perform its obligations with due diligence and professionalism. Its liability is limited to direct and foreseeable damage resulting from a proven breach of its contractual obligations. In any event, the Service Provider's liability shall not exceed the amounts received in respect of the relevant service during the preceding twelve (12) months.
The Service Provider shall not be held liable for:
• Consequences arising from late collection of mail by the client
• Loss or damage to mail attributable to the postal services
• Service interruptions resulting from force majeure
• Indirect damage such as loss of customers, loss of revenue or harm to reputation
9.2 — Liability of the Client
The client is solely responsible for the business activity carried out at the registered office address. The client indemnifies the Service Provider against any third-party claims related to its professional activity.
Article 10 — Personal Data Protection
10.1 — Collection and Processing
In accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act (loi Informatique et Libertés), the Service Provider collects and processes the client's personal data strictly for the purposes of contract performance and compliance with its legal obligations.
Data collected includes: director's identity, contact details, company information, supporting documents and billing data.
10.2 — Purposes of Processing
Data is processed for the following purposes:
• Performance of the service contract
• Administrative and accounting management
• Compliance with legal obligations (register of domiciled companies, tax returns)
• Communications relating to the subscribed services
10.3 — Data Retention
Personal data is retained for the duration of the contractual relationship, then for five (5) years from the end of the contract, in accordance with accounting and tax obligations.
10.4 — Client Rights
The client has the right of access, rectification, erasure, restriction, portability and objection to the processing of their personal data. These rights may be exercised by email at: contact@pole-immobilier-paca.com or by post to the Service Provider's registered office.
10.5 — Security
The Service Provider implements appropriate technical and organisational measures to ensure the security and confidentiality of personal data.
Article 11 — Intellectual Property
All elements of the Centre d'Affaires Antibes website (text, images, logo, graphic design) are protected by intellectual property law and remain the exclusive property of the Service Provider. Any reproduction, representation or exploitation — even partial — without prior written consent is prohibited.
Article 12 — Force Majeure
Neither party shall be held liable for failure to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code, including: natural disaster, fire, flood, pandemic, strike, failure of telecommunications networks, government or administrative decision, or any other event that is unforeseeable, irresistible and beyond the control of the parties.
Article 13 — Applicable Law and Disputes
13.1 — Applicable Law
These general terms and conditions are governed by French law.
13.2 — Amicable Settlement
In the event of a dispute relating to the interpretation or performance of these terms, the parties undertake to seek an amicable solution before taking legal action. The client may send a complaint by email to contact@pole-immobilier-paca.com or by recorded delivery letter to the Service Provider's registered office.
13.3 — Mediation
In accordance with Articles L611-1 et seq. of the French Consumer Code, the consumer client may have free recourse to a consumer mediator with a view to the amicable resolution of any dispute.
13.4 — Jurisdiction
Failing amicable settlement, any dispute shall be subject to the exclusive jurisdiction of the courts within the district of the Tribunal de Commerce d'Antibes (Antibes Commercial Court).
Article 14 — Miscellaneous Provisions
14.1 — Severability
Should any clause of these general terms and conditions be declared null or unenforceable, the remaining clauses shall remain in full force and effect.
14.2 — Non-Waiver
The failure of the Service Provider to enforce any obligation of the client shall not be construed as a waiver of that obligation.
14.3 — Entire Agreement
These general terms and conditions, supplemented where applicable by the specific conditions set out in the service contract, constitute the entire agreement between the parties.
